Terms of sale and use

Last updated: October 28, 2026

These terms apply to the purchase and use of Kitlegalia products, sold by Black Odix Technologies LLC, a New Jersey limited liability company ("we"). By buying or using a product you accept them.

Two kinds of license

1. Builder license (single firm). Buying a builder for your own firm, such as the WISP Builder or the Reg S-P Builder, gives your firm a non-exclusive, non-transferable license to use it for its own business, including everyone who works for the firm. Resale is prohibited. You may not sell, resell, sublicense, share, publish or redistribute the builder, its files or the documents it generates as templates for others, whether for a fee or for free.

2. White-label license (consultants and providers). Only a white-label license allows resale. It lets the licensee rebrand the builder and deliver it to its own clients, at a price the licensee chooses, under the written license terms delivered with it. Even under a white-label license, the licensee may not sell or transfer the resale right itself to other resellers, consultants or template marketplaces.

Using a builder outside the license you bought, including reselling a single-firm builder, ends your license and may lead us to seek the remedies the law allows.

What the products are, and are not

The builders help you document a program from your own answers. They are general information and drafting tools, not legal, tax, accounting, investment or security advice, and they do not guarantee compliance with the FTC Safeguards Rule, IRS guidance, SEC Regulation S-P, state law or any other requirement. You are responsible for the accuracy of your answers, for reviewing the documents, and for putting them into practice. Kitlegalia is not affiliated with the IRS, the FTC or the SEC.

Delivery and refunds

Products are digital downloads available right after payment. Because they are delivered at once and cannot be returned, all sales are final, except where the law requires otherwise or where the product does not work as described and we cannot fix it within a reasonable time, in which case we will refund you.

Updates

A 2027 edition may receive corrections during 2027 at no charge. Later editions are sold separately.

No warranties; limitation of liability

To the fullest extent permitted by law, the products are provided "as is", without warranties of any kind, and our total liability for any claim relating to a product is limited to the amount you paid for it. We are not liable for indirect or consequential damages, including any loss arising from a security incident, regulatory action or penalty.

Free tools

Free tools such as the 1099 calculator are provided for general information only, without any warranty.

Changes to these terms

We may update these terms from time to time. The version shown on this page when you buy is the one that applies to that purchase, so please read it before you buy; the date at the top shows when it last changed. A new version applies to purchases made after it is posted. It never changes a purchase or a period you have already paid for. If you keep using a product or service after a change, the new version applies to that continued use. Prices can also change at any time without notice: the price you pay is the one shown when you buy.

Governing law

These terms are governed by the laws of the State of New Jersey.
